This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
1. The Agreement
These Terms constitute a legally binding agreement between you ("User") and Urbane Labs, a proprietary firm having its principal place of business in Bangalore, Karnataka, India.
By accessing our dashboard, API, smart contracts, or services, you agree to be bound by these Terms. to bind that entity. By using our automated compliance infrastructure, agentic data extraction, and blockchain-based provenance tools, you agree to be bound by these Terms. If you adhere to these terms on behalf of a business entity, you warrant that you possess the legal authority to bind that entity to this Agreement.
2. Blockchain Immutability
You acknowledge that Urbane Labs utilizes the Solana blockchain to mint Digital Product Passports (DPPs) and cryptographic proofs. Data anchored to the blockchain is mathematically immutable; it cannot be deleted, altered, or reversed by any party, including Urbane Labs. You assume total liability for ensuring that no sensitive trade secrets, unauthorized proprietary data, or Personally Identifiable Information (PII) are written into public metadata payloads.
No Warranty of Regulatory Compliance
Urbane Labs provides software tools, including AI-driven OCR extraction and EU PEF-based estimation logic (Confidence Scoring). These are data harmonization utilities, not legal advice. The Customer remains the sole "Responsible Person" under EU ESPR Article 4 and French AGEC laws. Urbane Labs disclaims all liability for customs seizures, regulatory fines, or market exclusions resulting from the Customer's use of our generated DPPs.
3. Payments & Billing
Urbane Labs is the Merchant of Record for all transactions. Payments are processed securely via Stripe.
- Currency: Payments are processed in INR (Indian Rupees) for Indian entities and USD for international entities.
- GST Compliance: For customers based in India, Goods and Services Tax (GST) will be levied at the applicable rates (currently 18%) on top of the subscription fee.
- No Refunds: Subscription fees are non-refundable unless required by specific consumer protection laws applicable to your jurisdiction.
Pilot Agreements: Fees paid for "Pilot" or "Rescue" sprints are strictly for software access and data processing execution, and do not guarantee acceptance of the generated data by EU regulatory bodies.
4. Governing Law & Dispute Resolution
Governing Law: These Terms shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles.
Exclusive Jurisdiction: Subject to the arbitration clause below, the courts in Bangalore, Karnataka shall have exclusive jurisdiction.
Arbitration Agreement
Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by a sole arbitrator appointed by Urbane Labs in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bangalore, India. The language of the arbitration shall be English.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Urbane Labs, its founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, EU regulatory fines, supply chain disruptions, or data loss. In no event shall Urbane Labs' total cumulative liability exceed the total subscription or pilot fees paid by you to Urbane Labs in the three (3) months immediately preceding the event giving rise to the claim.
